Huntz Terms of Service

1Acceptance of These Terms

Welcome to Huntz.

These Terms of Service ("Terms") are a legally binding agreement between you and Huntz, Inc. ("Huntz," "we," "our," or "us") governing your access to and use of the Huntz mobile application, the Huntz website located at huntz.ai, and any related products, services, content, software, and features (collectively, the "Platform").

By creating an account, accessing the Platform, joining a Hunt, submitting proof, applying to become a Host, or otherwise using the Platform, you agree to be bound by these Terms and our Privacy Policy, which is incorporated into these Terms by reference.

If you do not agree to these Terms, you may not access or use the Platform.

These Terms apply to every user of the Platform, including participants, Hosts, visitors, and anyone interacting with Huntz.

2Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, legal obligations, technology, or business practices.

If we make material changes, we will provide reasonable notice through the Platform, by email, or through other appropriate means before the updated Terms become effective.

Unless otherwise required by law, continued use of the Platform after the effective date constitutes acceptance of the revised Terms.

Changes will not retroactively alter the contractual rules governing any Hunt that you joined before the updated Terms became effective unless required by applicable law.

3What Huntz Is

Huntz is an accountability platform that helps individuals pursue personal goals through commitment contracts.

Users voluntarily commit to completing a goal within a specified time period, submit proof of their progress, and may receive the return of their stake and any applicable rewards if they successfully satisfy the requirements of the Hunt. Each Hunt specifies its own:

Participation is entirely voluntary.

4What Huntz Is Not

Huntz is not:

Whether you successfully complete a Hunt depends primarily on your own actions and compliance with the published Hunt requirements.

Huntz does not guarantee that you will accomplish your goals or receive any payout.

5Eligibility

To use the Platform, you must:

Certain Hunts, payment methods, or Platform features may be unavailable in some jurisdictions.

We reserve the right to refuse service or restrict access where required by law or where we determine that providing the Platform would create legal, regulatory, or operational risk.

If you misrepresent your identity, age, or location, we may suspend or permanently terminate your account.

6Accounts

You are responsible for maintaining the confidentiality of your account credentials.

You agree to:

You are responsible for all activity occurring through your account.

You may not transfer, sell, rent, or share your account without our written permission.

7Hunts

A Hunt is a structured challenge administered through the Platform.

Before joining a Hunt, we will disclose material information including, where applicable:

By joining a Hunt, you enter into a commitment contract with Huntz under the rules disclosed for that Hunt. If you satisfy the published completion requirements, you will receive the payout described for that Hunt.

If you do not satisfy those requirements, your stake will be handled according to the payout rules applicable to that Hunt.

Where no participant successfully completes a Hunt, Huntz may return forfeited stakes or otherwise administer payouts in accordance with the published rules for that Hunt.

Participation in one Hunt does not create any entitlement to participate in future Hunts.

8Joining a Hunt

Before you join a Hunt, Huntz will disclose the material terms applicable to that Hunt, including, where applicable:

By joining a Hunt, you agree to those disclosed terms, which become part of these Terms for that Hunt.

Once your payment has been successfully authorized and processed, your participation is confirmed, subject to the applicable cooling-off period described below.

9Stakes and Payments

Each Hunt requires participants to commit a monetary stake.

The minimum and maximum stake amounts for each Hunt are determined by Huntz and will be displayed before you join.

To promote responsible participation, Huntz may establish limits on:

These limits may be adjusted periodically.

Your stake is collected when you join a Hunt using one of the payment methods made available through the Platform, which may include:

Your payment authorization allows Huntz and its payment providers to collect your committed stake and applicable fees.

If your payment cannot be successfully processed, your participation in the Hunt may be cancelled.

10Cooling-Off Period

We believe commitment should be intentional rather than impulsive.

Unless a Hunt specifically provides otherwise, you may withdraw from a Hunt within:

whichever provides the longer withdrawal period.

If you withdraw during this period:

Once the cooling-off period expires, your commitment becomes final, except where these Terms or applicable law provide otherwise.

11Proof Submission

Each Hunt requires participants to submit proof demonstrating completion of the applicable daily or periodic requirements.

You agree that every proof submission must be:

Submission of fraudulent proof constitutes a material breach of these Terms.

12Verification

Huntz determines whether submitted proof satisfies the applicable Hunt requirements.

Verification may include one or more of the following:

Selection for additional verification does not imply wrongdoing.

Failure to cooperate with a reasonable verification request may result in the affected submission being marked unsuccessful.

13AI-Assisted Review

To improve the speed, consistency, and integrity of verification, Huntz may use artificial intelligence systems supplied by trusted third-party providers, including Anthropic's Claude models or similar technologies.

AI systems may assist with:

Artificial intelligence assists our review process but does not independently determine outcomes affecting a participant's stake, payout, or eligibility.

Whenever an AI system identifies a submission that may affect a participant's Hunt outcome, the submission will be reviewed by an authorized member of the Huntz team before a final determination is made.

14Audits

To protect participants and maintain fairness, Huntz may conduct audits before, during, or after any Hunt.

An audit may require you to provide additional information supporting a proof submission.

Such information may include:

Unless otherwise specified, requested information should be provided within seventy-two (72) hours.

Failure to respond may result in the affected submission being marked unsuccessful.

15Fraud and Abuse

The integrity of Hunts depends on honest participation. Activities prohibited under these Terms include, but are not limited to:

If Huntz reasonably believes fraudulent activity has occurred, we may investigate and take appropriate action, including suspending accounts, withholding payouts, reversing payouts obtained through fraud, terminating participation, or referring matters to law enforcement where appropriate.

16Completion and Payouts

Each Hunt specifies its completion threshold before participation begins.

Participants who satisfy all applicable requirements become eligible for the payout described for that Hunt.

Unless otherwise disclosed, payouts may include:

Huntz never retains forfeited participant stakes as revenue.

Huntz's compensation is limited to the disclosed join fee.

If no participant successfully completes a Hunt, Huntz may administer forfeited stakes according to the published rules applicable to that Hunt, including returning forfeited stakes to participants where provided.

Payouts are generally initiated after:

Processing times may vary depending upon banking networks and payment providers.

17Disputes

If you believe Huntz incorrectly evaluated your proof submission or Hunt outcome, you may submit a dispute through the Platform within the period specified for that Hunt.

Submission of a dispute does not guarantee reversal of the determination.

During an active dispute, Huntz may delay payouts relating to the affected Hunt until the dispute has been resolved.

Following review, Huntz will notify you of its determination.

Our decision following the dispute review will be final except where otherwise required by applicable law.

18Cancellation, Platform Issues, and Hardship

Huntz may cancel a Hunt before it begins for operational, legal, technical, safety, or participation-related reasons.

If a Hunt is cancelled before commencement, all collected stakes and applicable join fees will be refunded.

If a Hunt cannot be fairly administered because of a significant Platform outage, payment failure, force majeure event, fraud, or other extraordinary circumstance, Huntz may:

Participants affected by serious illness, injury, death of an immediate family member, military deployment, natural disaster, or other comparable hardship may contact Huntz.

At our sole discretion, and upon reasonable supporting documentation where appropriate, we may provide a full or partial refund of the participant's stake or another equitable resolution.

19Fees

Join Fee

Huntz charges a join fee for participation in each Hunt. The applicable fee will be clearly displayed before you confirm your participation.

Unless otherwise stated for a specific Hunt, the join fee is calculated as a percentage of your committed stake.

The join fee is Huntz's compensation for operating the Platform and administering the Hunt.

After the applicable cooling-off period expires, the join fee is non-refundable except where required by law or where Huntz cancels the Hunt.

Other Fees

Huntz does not charge:

If optional expedited payout services become available, any applicable fees charged by Huntz or our payment providers will be disclosed before you request the expedited payout.

Financial institutions, payment processors, card issuers, or digital wallet providers may separately charge fees that are outside Huntz's control.

Interest

If applicable law permits, any interest earned on custodial accounts holding participant funds belongs to Huntz or the applicable financial institution unless otherwise required by law.

20Payments

Huntz uses one or more third-party payment providers to process payments, collect stakes, issue refunds, and distribute payouts.

By using payment features, you authorize Huntz and its payment providers to:

Your use of payment services may also be governed by the applicable payment provider's own terms and privacy policy.

Huntz is not a bank.

Funds held in connection with Hunts are not bank deposits, are not insured by the Federal Deposit Insurance Corporation (FDIC), and do not earn interest for participants.

Failed Payments

If your payment cannot be completed, reversed, or otherwise fails, Huntz may:

Chargebacks

Initiating a payment dispute or chargeback for a validly authorized Hunt payment without a good-faith legal basis constitutes a material breach of these Terms.

If a payment is reversed after participation or payout, Huntz may, where permitted by law:

Nothing in this section limits your legal rights to dispute unauthorized or fraudulent transactions under applicable law.

Taxes

You are solely responsible for determining and paying any taxes arising from your participation in Hunts or receipt of payouts.

Where required by law, Huntz may collect tax information or report payments to tax authorities.

21Hosts

Certain users may apply to become Hosts and submit Hunts for publication on the Platform.

Submitting a Hunt does not guarantee that it will be published.

Huntz reviews all proposed Hunts before publication and reserves the right, in its sole discretion, to approve, reject, modify, suspend, remove, delay, or require revisions to any proposed or published Hunt.

Approval of a Hunt does not constitute an endorsement of the Host or create any employment, partnership, agency, franchise, or joint venture relationship between Huntz and the Host.

Hosts are independent users of the Platform.

Host Responsibilities

Hosts agree to:

Hosts may not create Hunts that:

Hunt Review

Huntz reserves the right to review every Hunt before publication.

A Hunt may be rejected or removed for any reason, including concerns relating to:

Even after approval, Huntz may suspend or remove any Hunt if circumstances change.

Future Community Hunts

Huntz may in the future allow users to create Hunts for friends, private groups, communities, or the general public.

Whether a Hunt is private or publicly discoverable, Huntz retains the right to review, approve, reject, suspend, modify, or remove any Hunt or related content before or after publication.

Nothing in these Terms guarantees that every submitted Hunt will become available on the Platform.

Host Compensation

Approved Hosts may receive compensation under a separate written Host Agreement.

Unless expressly stated in that agreement:

Participant funds are administered exclusively by Huntz and its payment providers.

22Your Content

You retain ownership of the content you create and submit to the Platform, including:

By submitting Your Content, you grant Huntz a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to:

This license ends when Your Content is deleted, except where retention is permitted or required under our Privacy Policy or applicable law.

Marketing

Huntz will not use Your Content in advertisements, promotional campaigns, testimonials, or marketing materials without your separate, express consent.

If you choose to provide that consent, you may revoke it at any time for future uses.

Public Sharing

The Platform may allow you to voluntarily share achievements, profiles, or Hunt results publicly.

You control whether to make such information public.

Once content is shared outside the Platform, Huntz cannot control or retrieve it.

23Intellectual Property

The Platform, including its software, technology, trademarks, branding, logos, graphics, interfaces, designs, databases, text, and other proprietary materials, are owned by Huntz or its licensors and are protected by intellectual property laws.

Except as expressly permitted by these Terms, you may not:

Subject to these Terms, Huntz grants you a limited, non-exclusive, revocable, non-transferable license to use the Platform for its intended personal purposes.

24Prohibited Conduct

To protect the integrity of the Platform and the safety of our users, you agree not to:

We may investigate suspected violations and take any action permitted by law or these Terms, including removing content, withholding payouts, suspending or terminating accounts, and referring matters to law enforcement where appropriate.

25Account Suspension and Termination

You may close your account at any time through the Platform or by contacting us.

Closing your account does not cancel your obligations relating to Hunts that you have already joined. Active Hunts will continue to be governed by the Terms in effect when you joined them unless otherwise required by law.

Huntz may suspend, restrict, or terminate your account immediately if we reasonably believe that:

If Huntz terminates your account without cause, we will refund any eligible stakes associated with Hunts that cannot reasonably continue.

Termination does not affect rights or obligations that arose before termination.

26Electronic Communications

By creating an account, you consent to receive communications from Huntz electronically.

These communications may include:

Electronic communications satisfy any legal requirement that such communications be in writing.

27Platform Changes

We continuously improve the Platform.

Accordingly, Huntz may, at any time and without prior notice:

Material changes affecting active Hunts will be handled in a manner that is fair to participants and consistent with applicable law.

Nothing in these Terms guarantees that any particular feature or service will remain available indefinitely.

28Disclaimers

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HUNTZ DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED AVAILABILITY.

Huntz does not guarantee:

Participation in Hunts is entirely voluntary.

You are solely responsible for determining whether a Hunt is appropriate for your personal, financial, professional, or health circumstances. Huntz does not provide medical, psychological, nutritional, financial, legal, or other professional advice.

29Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HUNTZ, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF BUSINESS OPPORTUNITIES, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HUNTZ'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

(a) THE TOTAL AMOUNT OF JOIN FEES PAID BY YOU TO HUNTZ DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR

(b) ONE HUNDRED UNITED STATES DOLLARS (US $100).

Some jurisdictions do not permit certain limitations of liability. In those jurisdictions, portions of this section may not apply.

Nothing in these Terms limits liability that cannot legally be excluded under applicable law.

30Indemnification

You agree to defend, indemnify, and hold harmless Huntz, its affiliates, officers, directors, employees, contractors, licensors, and service providers from and against any claims, liabilities, damages, judgments, losses, costs, expenses, or reasonable attorneys' fees arising out of or relating to:

31Dispute Resolution

We encourage users to contact us first to resolve disputes informally. Before initiating arbitration or legal proceedings, you agree to contact Huntz at team@huntz.ai and provide us with at least thirty (30) days to attempt to resolve the dispute.

If a dispute cannot be resolved informally, it will be resolved through binding individual arbitration administered by the American Arbitration Association ("AAA") under its applicable Consumer Arbitration Rules, unless applicable law requires otherwise.

Arbitration may occur in Oakland, California, or by videoconference if permitted by the applicable arbitration rules.

You and Huntz each waive any right to participate in a class action, class arbitration, collective action, representative action, or private attorney general action to the fullest extent permitted by law.

Nothing in this section prevents either party from:

You may opt out of this arbitration provision by providing written notice to team@huntz.ai within thirty (30) days after first accepting these Terms.

32Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

The Federal Arbitration Act governs any arbitration conducted under these Terms.

33Miscellaneous

These Terms, together with our Privacy Policy and any additional agreements expressly incorporated by reference, constitute the entire agreement between you and Huntz regarding the Platform.

If any provision of these Terms is determined to be unenforceable, the remaining provisions will remain in full force and effect.

Failure by Huntz to enforce any provision does not waive our right to enforce that provision in the future.

You may not assign or transfer these Terms without our prior written consent.

Huntz may assign these Terms in connection with a merger, acquisition, financing, corporate reorganization, or sale of assets. Neither party will be liable for delays or failures caused by events beyond their reasonable control, including natural disasters, acts of government, cyberattacks, internet outages, labor disputes, payment network failures, or failures of third-party service providers.

Section headings are provided for convenience only and do not affect interpretation.

Any provisions that by their nature should survive termination—including payment obligations, dispute resolution, intellectual property rights, indemnification, limitation of liability, and licenses granted under these Terms—will survive termination.
